01 Introduction & Acceptance

These Terms and Conditions ("Terms") govern the relationship between Magnat Designs (Pty) Ltd ("Magnat Designs", "we", "us", or "our") and any person ("you", "the customer", or "the consumer") who accesses our website or places an order for our products.

By browsing our website or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must not use our website or purchase from us.

These Terms are supplemented by our Shipping Policy and our Returns & Refund Policy, which are incorporated into these Terms by reference and form part of the agreement between us. In the event of any conflict between those documents and these Terms, these Terms prevail.

We reserve the right to update or amend these Terms at any time. The version in force at the time of your order governs your purchase.

03 The Parties

Magnat Designs (Pty) Ltd is a private company registered and operating in the Republic of South Africa. Our registered business address and fulfilment facility is in Johannesburg, Gauteng.

By placing an order you confirm that:

• You are at least 18 years of age, or have the consent of a parent or legal guardian;
• You have the legal capacity to enter into a binding contract under South African law;
• All information you provide during the ordering process is accurate, complete, and current.

If you are purchasing on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms, and references to "you" in these Terms include that entity.

04 Products & Descriptions

Accuracy of product information

We take care to ensure that all product descriptions, dimensions, finish specifications, and images on our website are accurate. However, colour reproduction on screens varies between devices and calibration settings. Physical samples are the most reliable indication of real-world colour and texture.

We strongly recommend ordering physical samples before placing a large panel order. Sample packs are available on our website at a cost redeemable against a subsequent panel order.

Product availability

All products are offered subject to availability. If a product becomes unavailable after you place an order, we will notify you as soon as possible. You will receive a full refund of the amount paid within 30 days of notification, in line with Section 46 of the ECT Act.

Quality standards

Every Magnat Designs product is supplied with the implied warranty that it is:

• Reasonably suitable for the purpose for which it is generally intended;
• Of good quality, in good working order, and free of defects;
• Useable and durable for a reasonable period having regard to the type of product;
• Compliant with any applicable standards or requirements imposed by law.

These implied warranties are non-excludable under the Consumer Protection Act. The voetstoots (as-is) principle does not apply to any transaction governed by the CPA.

05 Pricing, Promotions & Currency

Pricing

All prices displayed on the website are in South African Rand (ZAR) and include Value-Added Tax (VAT) at the applicable rate, unless explicitly stated otherwise. Delivery charges are shown separately at checkout and are not included in the displayed product price.

Prices are subject to change without notice. The price applicable to your order is the price displayed at the time you complete checkout. We will not increase the price of your order after it has been placed.

Promotions and discounts

Promotional prices, discount codes, and sale pricing are valid for the period stated at the time of the promotion. Only one promotional code may be applied per order unless explicitly indicated. We reserve the right to withdraw or modify promotions at any time without prior notice.

Pricing errors

In the event of a pricing error on our website, we are not obligated to sell the product at the incorrect price. If a pricing error is discovered after your order is placed, we will notify you and give you the option to purchase at the correct price or cancel your order for a full refund.

06 Orders & Payment

Placing an order

An order is submitted when you complete checkout and click the payment confirmation button. Receipt of your order is acknowledged by an Order Confirmation email. This email confirms receipt only — it does not constitute acceptance of your order or formation of a binding contract.

A binding contract between you and Magnat Designs is formed when we send you a Dispatch Confirmation email confirming that your goods have been handed to our courier.

We reserve the right to refuse or cancel any order at our discretion — for example, where goods are unavailable, where a pricing error has occurred, or where there is a concern about the accuracy of information provided. Where an order is refused after payment has been collected, a full refund will be issued promptly.

Payment

We accept the payment methods displayed at checkout, which may include credit and debit cards, instant EFT, and other approved payment gateways. All payment processing is handled by third-party, PCI-DSS compliant payment service providers. Magnat Designs does not store your full card details.

Trade and bulk orders

For trade, commercial, or bulk purchases, separate pricing and terms may apply. Contact us before placing a trade order so we can discuss your specific requirements and confirm lead times.

07 Delivery & Shipping

Full delivery terms are set out in our Shipping Policy, which is incorporated into these Terms by reference. Key points are summarised below.

Processing and delivery timeframes

Orders are processed within 1 business day. Once dispatched from our Johannesburg, Gauteng facility, delivery takes up to 5 business days for most destinations nationwide. Remote or rural areas may require additional time.

Maximum delivery period

In line with Section 46 of the ECT Act, we will execute your order within 30 days of receipt unless we have agreed otherwise in writing. If we cannot deliver within 30 days, we will notify you. You may then cancel your order and receive a full refund. If the goods are unavailable, we will notify you and refund all amounts paid within 30 days.

Risk and ownership

Risk of loss or damage to the goods passes to you on delivery. Ownership of the goods passes to you once we have received full and cleared payment.

Address accuracy

You are responsible for providing a correct and complete delivery address. Magnat Designs accepts no liability for goods delayed or lost due to an incorrect address. Notify us immediately if your address changes after your order is placed — we cannot amend the delivery address once goods have been dispatched.

08 Consumer Rights & Returns

Your full return and refund rights are set out in our Returns & Refund Policy. The following is a summary of your key statutory rights.

7-day cooling-off period (ECT Act s.44)

If you purchased online, you may cancel your order within 7 days of receipt without providing any reason. To exercise this right the goods must not have been cut, installed, or otherwise altered. You are entitled to a full refund including the original delivery fee. Return shipping costs are for your account in this instance.

6-month statutory warranty (CPA ss.55–56)

If goods are defective, not fit for purpose, or not of acceptable quality, you may return them within 6 months of delivery and choose between repair, replacement, or a full refund — including the original delivery fee. You cannot be compelled to accept repair or a replacement if you prefer a cash refund. Where goods are defective, return shipping is at our cost.

Cut and installed panels

Once panels have been cut or installed, the ECT Act cooling-off right is extinguished. However, latent manufacturing defects remain covered by the 6-month CPA warranty even after installation. The two rights are legally distinct.

Product condition

Opening packaging and inspecting goods constitutes ordinary, reasonable handling and does not give rise to any deduction from your refund. A deduction may only be made where goods have been damaged by use inconsistent with ordinary inspection, materially altered, or used contrary to the instructions provided.

Refund timing

All approved refunds are processed within 30 days of us receiving the returned goods (or confirming the defect for installed panels). Refunds are made via the original payment method.

09 Intellectual Property

All content on the Magnat Designs website — including but not limited to brand names, logos, trade marks, product names, images, copy, design layouts, colour selections, and technical specifications — is the intellectual property of Magnat Designs (Pty) Ltd or is used with the permission of the respective rights holder.

You may not copy, reproduce, distribute, publish, modify, adapt, translate, display, or create derivative works from any content on the website without our prior written consent, except to the extent permitted by applicable law or for the purpose of your personal, non-commercial use.

Nothing in these Terms grants you any licence or right in any intellectual property belonging to Magnat Designs or any third party.

10 Privacy & Personal Information

Magnat Designs processes your personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). By placing an order, you acknowledge that we collect, store, and process the personal information you provide (including your name, contact details, and delivery address) for the purposes of:

• Processing and fulfilling your order;
• Communicating with you about your order and our products;
• Complying with our legal obligations;
• Improving our products and services (aggregated, anonymised data only).

We retain personal information related to transactions for a minimum of 5 years in line with applicable legal and regulatory requirements. We implement reasonable technical and organisational measures to protect your personal information against unauthorised access, disclosure, or loss.

We do not sell or rent your personal information to third parties. We may share information with service providers who assist us in operating our business (such as couriers and payment processors) where necessary and under appropriate data-processing agreements.

11 Electronic Communications & Transactions

Our website and all transactions conducted through it are subject to the Electronic Communications and Transactions Act 25 of 2002 (ECT Act).

In accordance with Section 43 of the ECT Act, we provide the following information about our website and transaction process:

• You are able to identify and correct any input errors before submitting your order at checkout;
• The full cost of your order, including VAT and delivery charges, is displayed before payment is processed;
• You will receive an Order Confirmation email acknowledging receipt of your order;
• These Terms are available for you to access, store, and reproduce at any time;
• Funds are only withdrawn once goods are dispatched;
• We will not charge any amount exceeding the agreed order total.

Electronic communications (emails, order confirmations, dispatch notifications) sent by us to the address you provided at checkout constitute valid written communications for all purposes contemplated in these Terms.

12 Website Use & Prohibited Conduct

Permitted use

You may access and use our website for lawful personal or commercial purposes in connection with purchasing our products. All use must comply with applicable South African law.

Prohibited conduct

You must not:

• Use the website in any way that is unlawful, fraudulent, or harmful to Magnat Designs or any third party;
• Attempt to gain unauthorised access to any part of the website, its servers, or any connected system;
• Transmit any malicious code, virus, or other harmful data via the website;
• Use the website to harvest, scrape, or collect data about other users without their consent;
• Copy, republish, or exploit any content on the website for commercial purposes without our written consent;
• Impersonate Magnat Designs or any of its representatives;
• Use automated scripts, bots, or crawlers to interact with the website in a manner that adversely affects its performance.

We reserve the right to suspend or terminate your access to the website if you breach any of these provisions, without notice and without liability to you.

13 Limitation of Liability

To the maximum extent permitted by applicable law (including the CPA and ECT Act), Magnat Designs' total liability to you in connection with any order or use of the website, whether in contract, delict, or otherwise, is limited to the total amount paid by you for the specific order giving rise to the claim.

Magnat Designs is not liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of income, loss of profit, loss of business, or loss of data, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the CPA or any other applicable law, including liability for death or personal injury caused by our negligence, or for gross misconduct.

We do not guarantee that the website will be continuously available, error-free, or free of viruses or other harmful components. We are not liable for any loss or damage arising from a failure, interruption, or delay in the operation of the website.

14 Indemnification

You agree to indemnify and hold harmless Magnat Designs (Pty) Ltd, its directors, employees, agents, and suppliers from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal costs) arising from:

• Your use of the website in violation of these Terms;
• Any breach by you of applicable law;
• Any wilful misconduct or negligence on your part in connection with the use of our products or website;
• Any inaccurate information provided by you in connection with your order.

This indemnification obligation survives the termination or expiry of these Terms.

Our website may contain links to third-party websites, including social media platforms, courier tracking portals, or related content. These links are provided for convenience only. Magnat Designs does not control and is not responsible for the content, privacy practices, or terms of any third-party website.

Inclusion of a link does not imply endorsement by Magnat Designs. You access linked websites at your own risk. We encourage you to review the terms and privacy policies of any third-party website you visit.

16 Force Majeure

Magnat Designs is not liable for any delay, failure, or inability to perform our obligations under these Terms where such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, floods, fires, or extreme weather events;
• Strikes, industrial action, or labour disputes affecting our suppliers or courier partners;
• War, civil unrest, terrorism, or government actions;
• Power outages, load shedding, or telecommunications failures;
• Pandemic, epidemic, or public health emergency;
• National or international supply chain disruptions beyond our control.

Where a force majeure event affects our ability to fulfil your order, we will notify you as soon as reasonably practicable. If the force majeure event persists beyond 30 days, either party may cancel the order and a full refund will be issued without further liability.

17 Governing Law

These Terms and all transactions concluded through our website are governed by and construed in accordance with the laws of the Republic of South Africa, including:

• Consumer Protection Act 68 of 2008;
• Electronic Communications and Transactions Act 25 of 2002;
• Protection of Personal Information Act 4 of 2013;
• Companies Act 71 of 2008;
• Value Added Tax Act 89 of 1991.

You consent to the jurisdiction of the South African courts in respect of any dispute arising from or in connection with these Terms or any transaction concluded through our website.

18 Dispute Resolution

We aim to resolve every issue quickly and fairly. If you have a complaint, please contact us first — most matters can be resolved directly.

If we are unable to resolve your complaint to your satisfaction, you may escalate the matter to any of the following bodies:

Nothing in these Terms limits your right to approach a court of competent jurisdiction or any statutory consumer protection body for relief.

19 General Provisions

Entire agreement

These Terms, together with our Shipping Policy and Returns & Refund Policy, constitute the entire agreement between you and Magnat Designs in respect of transactions concluded through our website, and supersede all prior representations, negotiations, or agreements relating to the same subject matter.

Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable under applicable law, that provision will be severed from these Terms to the minimum extent necessary. The remaining provisions will continue in full force and effect.

Waiver

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by an authorised representative of Magnat Designs.

Assignment

You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor business without your consent, provided the successor assumes all obligations to you.

Language

These Terms are drafted in English. In the event of a translation being provided for convenience, the English version governs in case of inconsistency.

Amendments

We reserve the right to amend these Terms at any time. Amendments take effect from the date of publication on this page. Continued use of the website after amendment constitutes your acceptance of the updated Terms. The version applicable to your order is the version in force at the time you place the order.
